1. Agreement to Terms

By accessing or using the website nepalayagarments.com or placing an order with Nepalaya Garments Pvt. Ltd. ("Nepalaya", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, please do not use our services.

2. Services

Nepalaya provides garment manufacturing, print-on-demand, private-label production, wholesale supply, and retail e-commerce services. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Orders & Payment

3.1 Order Placement

All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our sole discretion, including cases of suspected fraud, pricing errors, or unavailability of stock.

3.2 Pricing

All prices are listed in Nepalese Rupees (NPR) unless stated otherwise. Prices include applicable taxes where displayed. We reserve the right to change prices at any time without prior notice. Price at the time of confirmed payment governs the transaction.

3.3 Payment

We accept payment via Khalti, eSewa, bank transfer, Cash on Delivery (COD), and WhatsApp-confirmed advance transfers. Payment must be completed before production begins for custom and wholesale orders. COD is subject to delivery area availability.

3.4 Wholesale & Custom Orders

Custom and wholesale orders require a confirmed order sheet, advance payment as agreed, and approval of the size/design specification. Production timelines begin only after full confirmation and advance receipt.

4. Shipping & Delivery

We deliver to all 77 districts of Nepal. Estimated delivery timelines are provided at checkout and via WhatsApp order confirmation. Nepalaya is not liable for delays caused by third-party courier services, natural disasters, strikes, or circumstances beyond our control. Risk of loss and title for products pass to you upon handover to the courier.

5. Returns & Exchanges

Retail orders may be returned or exchanged within 7 days of delivery if the item is defective, damaged, or incorrect. Custom-manufactured, personalised, and print-on-demand items are non-refundable unless they are defective. 6. Intellectual Property

All content on this website — including logos, images, product photographs, text, and design — is the exclusive intellectual property of Nepalaya Garments Pvt. Ltd. or its licensed suppliers. You may not reproduce, distribute, or create derivative works without express written permission.

By submitting artwork or designs for print-on-demand or custom orders, you represent and warrant that you own or have the rights to use such designs, and that they do not infringe third-party intellectual property rights. Nepalaya accepts no liability for infringing customer-submitted artwork.

7. Prohibited Use

You may not use our website or services to:

• Engage in fraudulent, misleading, or illegal activity.
• Transmit malicious software, spam, or unsolicited communications.
• Attempt to gain unauthorised access to our systems.
• Place orders for counterfeit, copyrighted, or prohibited goods.
• Resell or distribute our services without written authorisation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Nepalaya Garments Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability in connection with any claim shall not exceed the amount paid by you for the specific order giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Nepalaya, its directors, employees, and agents from any claims, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Nepal. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

11. Changes to Terms

We reserve the right to update these Terms of Service at any time. The revised terms will be posted on this page with an updated effective date. Continued use of our services after any changes constitutes your acceptance of the new terms.
